These Terms and Conditions ("Terms") govern your access to and use of the AI-powered cohosting services, website, and platform (collectively, the "Services") provided by RankCohost ("we," "us," or "our"). By registering for, accessing, or using our Services, you agree to be bound by these Terms.

1. Acceptance of Terms
By creating an account or using our Services, you confirm that you are at least 18 years of age, have the legal authority to enter into this agreement, and accept these Terms. If you are using the Services on behalf of a company or other entity, you represent that you have the authority to bind that entity to these Terms.

2. Description of Services
RankCohost provides a technology-enabled cohosting service for short-term rental properties. Our Services include, but are not limited to:

AI-driven optimization of property listings on platforms like Airbnb, Vrbo, and Booking.com.

Management of guest inquiries, communication, and booking coordination.

Coordination of cleaning, maintenance, and other operational tasks via automated workflows and human supervision.

Financial reconciliation, including collection of vendor invoices and reporting to you.

Other related administrative and marketing support services as described on our website.

You acknowledge that RankCohost is an independent service provider and not an employee, partner, or joint venturer. We act as your agent for the limited purposes of providing the Services.

3. Account Registration and Security
You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. You agree to provide accurate, current, and complete information during registration and to update it promptly. You must notify us immediately of any unauthorized use of your account.

4. Host Responsibilities and Representations
You represent, warrant, and agree that:

You have the legal right to list and manage the properties enrolled in our Services.

All properties comply with applicable local laws, regulations, zoning requirements, tax obligations, and HOA rules, including possessing any required permits or licenses for short-term rentals.

You maintain adequate insurance coverage for your properties and rental activities.

You will provide accurate and complete information about your properties and promptly inform us of any changes or issues.

You are solely responsible for setting your rental prices, house rules, and for the ultimate approval of any guest bookings or discounts.

5. Fees, Payment, and Free Trial
Free Trial: We may offer a promotional free trial period. Access will begin upon your enrollment. At the end of the trial period, you will automatically be enrolled in the paid Service plan you selected unless you cancel prior to the trial's end. You must cancel via your account dashboard or by contacting us.

Service Fees: Our fees are a percentage ([15-20]%) of the gross booking revenue generated from properties under our management ("Service Fee"). The specific rate will be agreed upon during your onboarding.

Payment Authorization: You authorize RankCohost to collect the Service Fee directly from the rental platform payout or via direct invoice, as per our chosen payment method.

Taxes: You are responsible for all taxes associated with your rental income. Our Service Fees are exclusive of any applicable sales or value-added taxes, which you agree to pay where required by law.

6. Data Processing and Guest Information
In providing the Services, we will process personal data of your guests. Our data handling practices are detailed in our Privacy Policy. You acknowledge that for guest data, you are the data controller and we act as your data processor. You agree to inform your guests that a third-party service provider (RankCohost) is assisting with management and communication, as required by applicable privacy laws (e.g., GDPR, CCPA).

7. Intellectual Property
Our IP: All rights, title, and interest in our Services, website, software, AI models, and branding remain our exclusive property.

Your Content: You retain ownership of your property listings, photos, and descriptions. By using our Services, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, and modify this content solely for the purpose of providing and improving the Services (e.g., optimizing your listings).

Guest Reviews/Photos: If you provide us with guest reviews or photos, you represent you have the right to share them and grant us a license to display them in connection with our marketing, subject to any guest permissions.

8. Disclaimer of Warranties and Limitation of Liability
Service "As Is": Our Services are provided on an "as is" and "as available" basis. We disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee any specific increase in ranking, occupancy, or revenue.

Limitation of Liability: To the maximum extent permitted by law, RankCohost shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or data, arising from your use of the Services. Our total aggregate liability shall not exceed the total Service Fees you paid to us in the six (6) months preceding the event giving rise to the claim.

Platform Dependencies: We are not responsible for the actions, outages, or policy changes of third-party platforms (Airbnb, Vrbo, etc.).

9. Indemnification
You agree to indemnify, defend, and hold harmless RankCohost from any claims, damages, or losses arising from: (a) your breach of these Terms; (b) your property or rental activity (including guest injuries, property damage, or legal violations); or (c) your content.

10. Term and Termination
Term: These Terms remain in effect while you use our Services.

Termination by You: You may terminate your account at any time via your dashboard or by contacting us.

Termination by Us: We may suspend or terminate your access for breach of these Terms, non-payment, or any conduct we believe creates risk or legal exposure.

Effect of Termination: Upon termination, your right to use the Services ceases immediately. Sections on Intellectual Property, Disclaimer, Limitation of Liability, Indemnification, and this Section 10 shall survive termination.

11. Governing Law and Dispute Resolution
